Abstract
This article examines the increasingly fraught relationship between business data contracts and the evolving needs of academic researchers. Drawing from practical experience and real-world vendor negotiations, the author highlights three persistent pain points: Rigid data retention clauses that undermine the reality of academic research; inflexible liability language that places disproportionate risk on academic institutions; and sweeping prohibitions on AI use that fail to account for the complexity of modern research tools. Through grounded examples, the article advocates for more pragmatic, research-aware terms and calls for vendors and libraries to co-develop practical solutions. It concludes with a call to view contracts not as rigid artefacts but as dynamic, negotiable documents - tools for enabling responsible scholarship rather than obstructing it.
