El presente trabajo de investigación jurídica aborda la controversia (proceso arbitral)
\niniciada por NOVA PERU SAC en contra de Carlos Milanovitch y DEXIM SRL al suscribir
\néstos un Memorando de Entendimiento, figura atípica en el ordenamiento jurídico
\nperuano que tiene su génesis en el derecho anglosajón. En el documento denominado
\nMemorando de Entendimiento es donde surgen las discusiones acerca de la verdadera
\nnaturaleza jurídica de este documento (si es un Memorando de Entendimiento o un
\ncontrato de compromiso de contratar), si es que realmente se ha activado la cláusula
\npenal (artículo 1341 del código civil) y si es que DEXIM SRL a pesar de no haber firmado
\nel Memorando de Entendimiento debe ser parte del proceso arbitral (exigibilidad a partes
\nno signatarias). La justificación del presente trabajo de investigación jurídica radica en
\nla falta de uniformidad y consenso en la doctrina acerca de la naturaleza jurídica del
\nMemorando de Entendimiento, así como si éste genera obligaciones entre las partes y
\nel alcance de las partes no signatarias respecto al convenio arbitral. Asimismo, utilizare
\nun enfoque doctrinario y pragmático, puesto que es la única manera de poder distinguir,
\ndelimitar y clarificar los problemas antes expuestos. A modo de conclusión, sostengo
\nque el presente documento llamado Memorando de Entendimiento no es tal, por el
\ncontrario, es un contrato de compromiso de contratar, así como efectivamente se activó
\nla cláusula penal y, por último, DEXIM SRL sí es parte del proceso arbitral pese a no
\nhaber firmado el Memorando de Entendimiento.
