Le présent ouvrage traitera d'un sujet extrêmement populaire par les temps qui\ncourent et qui semble exercer une véritable fascination autant chez les praticiens\nque chez les gens d'affaires partout dans le monde.\nEn effet, l'arrivée du nouveau millénaire et le phénomène international de la\nglobalisation des marchés font en sorte que les différents intervenants évoluent\ndans un contexte économique et culturel de plus en plus relié entre eux, ce qui\nfavorise pour les entrepreneurs une approche globale de consolidation des\nmarchés. Nous explorerons donc l'univers des transactions relatives aux\nacquisitions internationales et nous nous interrogerons sur le type de véhicule à\nprivilégier afin d'optimiser les objectifs recherchés tant pour le vendeur que pour\nl'acquéreur.\nNous évaluerons donc les différents rapports entre les parties en considérant\nchacune des facettes des acquisitions dont le processus précontractuel et\ncontractuel, et enfin, la réorganisation de l'entité. Par ailleurs, l'intérêt du présent\nouvrage est certainement que toute acquisition d'entreprise ou de création de\ncoentreprise en matière internationale implique de nombreuses considérations\nd'ordre stratégique, à savoir, la planification juridique et économique du projet\nciblé. Nous délimiterons le rôle de l'avocat à titre d'architecte de la transaction et\ndresserons les paramètres à respecter pour ce type de transaction.\nNous examinerons aussi bien les conséquences économiques que juridiques des\ndifférentes étapes à suivre pour les différents acteurs prenant part à ce type de\ntransaction. L'objectif principal visé par cet ouvrage, outre son côté académique,\nest de brosser un tableau simplifié du mécanisme d'acquisition internationale\nd'entreprise.
