Abstract
L’art. 2351, comma 3, c.c. autorizza le società per azioni, quotate e non quotate, ad inserire in statuto tetti al diritto di voto al fine di impedire l’acquisizione del controllo da parte di singoli soci o coalizioni di \nsoci, con ciò favorendo una frammentazione dell’azionariato. Che facciano parte dello statuto originariamente o siano introdotti successivamente, i tetti di voto pongono delicati problemi interpretativi. In questo scritto si affrontano questioni attinenti alla loro operatività in sede assembleare, ai possibili abusi connessi al loro utilizzo e alle modalità di tutela dei soci, alla loro interazione con gli obblighi di offerta pubblica di acquisto, all’esistenza di vincoli all’autonomia statutaria nel disegnare le relative clausole e alla loro opponibilità in presenza di intestazione fiduciaria di azioni.
