Abstract
In 2006, we began a multi-year study of corporate governance in Canadian Small- and Medium-Sized Enterprises (SMEs). This initiative included nearly 100 interviews with SME board members and extensive data collection from public filings of publicly traded Canadian SMEs. The outputs from our efforts include—among other results—a series of practical toolkits for SME boards. In this toolkit, we focus on common characteristics of SME boards and the challenges they face. The toolkit includes insights into how SME boards commonly evolve and suggests processes, structures, and tools to help ensure ongoing effectiveness through periods of concentrated change.
