Abstract
Income trusts have proliferated in Canada in the past few years. The popularity of the income trust structure is due to its structure that “bundles ” features of debt and equity in the securities offered to the public. In the income trust governance area, the removal of agency cost of free cash flow and use of external as opposed to internal managers for operating companies benefit income trusts. As a new way of corporate financing and governance, the income trust structure is here to stay.
