Exonération de programme dépassant 10 % du capital-actions Rashid Bahar, Elsa Muhaxheri, 24 novembre 2010. En date du 10 novembre 2010, la Commission des OPA (COPA) a prononcé une décision exonérant l’annonce du programme de rachat d’actions d’Actelion Ltd de l’application des dispositions sur les offres publiques d’acquisition (Décision 0459/01 Actelion Ltd, du 3 Novembre 2010). Actelion Ltd (Actelion) a fait part à la Commission de son intention de racheter des actions propres à hauteur de CHF 800 millions au maximum, soit 15 % de son capital-actions, sur une période de trois ans au plus en vue de réduire son capital à concurrence du volume de rachat obtenu. Toutefois, selon l’annonce publiée par Actelion, celle-ci a déclaré qu’une acquisition de plus de 10% du capital-actions serait accompagnée d’une décision de l’assemblée générale. Avant d’accorder une exonération au principe énoncé à la Circulaire n ° 1 de la COPA du 26 février 2010, la Commission a examiné si le rachat n’avait pas pour effet une réduction excessive du free float ou une modification de l’actionnariat de la société.
