Abstract
2008年10月，法国CIC银行邀请具有中法双重投资背景的凯辉私募股权投资基金，探讨CIC收购的法国最大定制衣柜公司Sogal及其中国合作伙伴索菲亚的合作事宜。中国衣柜行业从起步计算不到10年历史，2007年，中国城市家庭定制衣柜拥有率仅为6.8%，大大低于西方国家水平。作为中国最早的定制衣柜企业之一，索菲亚早年依靠代理法国衣柜第一品牌Sogal家具起家。2004年，索菲亚与Sogal-France合资成立"广州索菲亚公司"，并在国内家具市场取得了快速发展。2008年，Sogal被CIC银行收购，索菲亚投资方变更为法国CIC银行。由于对中国市场缺乏了解，CIC银行邀请凯辉探讨合作事宜。案例（B）描述了2009年1月凯辉决定投资索菲亚之后，在与其他合作伙伴进行谈判的过程中所遇到的问题与解决方案；投资协议达成之后索菲亚上市过程中所面临的风险与对策。经过短短几个月，凯辉决定与CIC共同投资。凯辉为何做出这样的选择？凯辉加入投资阵营后，将给索菲亚带来哪些影响？如何保障CIC、凯辉、索菲亚三方的共同利益？索菲亚的上市之路又遇到了哪些问题？凯辉的投资，能获得预期回报吗？
