Abstract
2012年9月初，总部位于加州的美国薄膜太阳能电池板制造商Miasole公司的CEO约翰?卡林顿突然造访汉能北京总部。他拜会了汉能全球投资部负责人杰森和迈克，并主动提出将Miasole以8000万美元卖给汉能。于是，双方开始进行收购谈判。A案例描述了汉能的收购计划“零对价承债收购”，希望对关键人员和高管实施留任计划，但对Miasole提出的留任计划安排持有异议。因此，汉能面临着说服股东、分配留任计划奖金等方面的难题；B案例从Miasole股东的角度，描述了股东对收购者的期望，以及在Miasole财务状况挺不过一个月的前提下股东对收购价格划定的底线、对留任计划的单方面分配思路。各持己见的双方，能在收购谈判中达成一致吗？这个问题也是本案例给管理课堂带来的讨论点，即在跨国收购交易中如何权衡双方的需求从而成功实现收购或者售卖。
