Abstract
2008年10月，法国CIC银行邀请具有中法双重投资背景的凯辉私募股权投资基金，探讨CIC收购的法国最大定制衣柜公司Sogal及其中国合作伙伴索菲亚的合作事宜。中国衣柜行业从起步计算不到10年历史，2007年，中国城市家庭定制衣柜拥有率仅为6.8%，大大低于西方国家水平。作为中国最早的定制衣柜企业之一，索菲亚早年依靠代理法国衣柜第一品牌Sogal家具起家。2004年，索菲亚与Sogal-France合资成立“广州索菲亚公司”，并在国内家具市场取得了快速发展。2008年，Sogal被CIC银行收购，索菲亚投资方变更为法国CIC银行。由于对中国市场缺乏了解，CIC银行邀请凯辉探讨合作事宜。此前CIC曾邀请过法国CEL基金加入该项目，但CEL很快即放弃了。案例（A）介绍了凯辉、索菲亚以及索菲亚的法国合作方Sogal France公司的发展历程与运营情况。着重分析了2008年10月，当凯辉受邀投资索菲亚时对中国定制衣柜行业发展前景的判断以及索菲亚谋求上市的战略决策。凯辉应该接受邀请入局吗？中国定制衣柜行业发展前景如何？索菲亚能否顺利上市？凯辉应该采取什么合作方式呢？
