All talk, no action? Considering the effects of CSA disclosure amendments on the representation of women on S&P/TSX 60 boards

Abstract
Following the Canadian Securities Administrators (CSA) comply-or-explain amendments on disclosure of gender diversity policies and targets for the number of female directors, we have observed that the disclosure of gender diversity policy adoption (and of the adoption of targets) has increased and then plateaued. We have also observed low renewal rates; gender diversity in the boardroom will continue to improve, but very slowly, if this trend in turnover persists. When a benchmark has been set for the publication of corporate engagement with issues of gender equity, those requirements also invite better scrutiny of boards by public news media and shareholders. However, disclosure requirements are not necessarily sufficient measures for improving the representation of women in the boardroom unless accompanied by action to change the board’s composition and ensure accountability.
