Abstract
In 2006, we began a multi-year study of corporate governance in Canadian Small- and Medium-Sized Enterprises (SMEs). This initiative included nearly 100 interviews with SME board members and extensive data collection from public filings of publicly traded Canadian SMEs. The outputs from our efforts include—among other results—a series of practical toolkits for SME boards. In this toolkit, we guide SME boards to facilitate the development of a useful board manual. Through interviews and surveys with Canadian SME directors, we have learned that formalizing board roles, ideals, and practices increase director confidence and decision-making effectiveness and help attract experienced directors to the board. An effective board manual is a medium for codifying these formal processes and can be valuable for more than just the orientation of new board members.
