Abstract
El siguiente artículo presenta el perfil jurídico de las ociedades por acciones simplificadas constituidas durante el primer año de vigencia de la Ley 1258 de 2008 en Medellín. Es el resultado de un proyecto de investigación que problematizó las consagraciones normativas de la ley al contrastarlas\ncon el régimen societario vigente en el Código de Comercio\nde 1971 y las garantías constitucionales que desarrollan los\nderechos de libre asociación, propiedad privada y libre\ncompetencia económica. Este resultado se obtuvo a partir de una comprobación empírica en los estatutos de las sociedades por acciones simplificadas (SAS); según una muestra y unas variables elegidas a partir del análisis de la ley; de encuestas y entrevistas que absolvieron los empresarios. Para\nel tratamiento de los resultados fueron importantes las\nconclusiones encontradas al analizar el papel de la Corte\nConstitucional y la Superintendencia de sociedades que también fueron obtenidas en este proyecto.\nLos hallazgos de este ejercicio permiten establecer que: durante el primer año de vigencia de la Ley 1258 de 2008, en Medellín, los empresarios acudieron a la S.A.S. para favorecerse de las ventajas propias de la unipersonalidad y la\nreducción de costos originada en las facilidades para constitución y funcionamiento propias del tipo. La creación de nuevos tipos, clases o especies de acciones que autoriza\nel artículo 10° de la Ley 1258 de 2008 fue incipiente y básicamente enfocada a establecer herramientas útiles para fortalecer las sociedades de familia; reorientar y fortalecer por este medio las funciones que cumplían las sociedades comanditas.
