Abstract
Résumé L’une des manifestations de la préoccupation éthique est le souci de transparence qui caractérise aujourd’hui les entreprises. Analysant l’évolution du droit des sociétés, tant français que canadien, celle-ci témoigne conjointement d’une place grandissante faite à la transparence des rémunérations des dirigeants. En dépit de quelques points d’ombre, la situation française en la matière a nettement évolué et fait place à un dispositif relativement complet. Alors qu’une loi canadienne a consacré l’obligation d’information sur les rémunérations des dirigeants, c’est le droit des marchés financiers qui occupe un rôle essentiel en ce domaine. En effet, ce dernier fait une place considérable à la divulgation de la rémunération des dirigeants comme en témoigne le projet de l’Autorité des marchés financiers québécoise du 29 mars 2007. Cependant, le régime de divulgation de la rémunération des dirigeants des sociétés cotées en France et au Canada appelle à poser la question d’une désunion potentielle de la transparence et de l’éthique, désunion dont le droit serait la source.
