Résumé L’objectif de notre article est d’étudier la spécificité française qu’est le co-commissariat aux comptes et, en particulier, les déterminants du choix de la composition du collège de commissaires aux comptes (zéro, un ou deux Big 4). Ce choix est théoriquement associé aux mécanismes de gouvernance mis en place par les sociétés. Cependant, nos résultats montrent que, sur un échantillon de 175 sociétés cotées issues du SBF 250, les prédictions théoriques fondées sur une approche politico-contractuelle ne sont que faiblement vérifiées. En revanche, en constituant des sous-échantillons plus homogènes en termes de taille, il ressort clairement que, pour les petites et moyennes sociétés, la proportion de l’actionnariat familial est négativement associée au choix d’au moins un Big 4, mais pas à celui de deux Big 4. Pour les moyennes sociétés, la sélection d’au moins un Big 4 est également influencée par les autres mécanismes de gouvernance : elle les complète (indépendance du conseil ou dissociation des fonctions de président et de directeur général) ou s’y substitue (présence d’un comité d’audit). Pour les plus grandes sociétés, le choix se réduit à deux possibilités (un ou deux Big 4) et s’explique par des contraintes opérationnelles (taille et niveau d’internationalisation de la société auditée).
