Abstract
Le 21 juin 2012, le juge Tingley de la Cour superieure du Quebec a rendu jugement en faveur de 21 franchises de la chaine de beigneries Dunkin Donuts faisant affaires au Quebec (les «Franchises»), ordonnant la resiliation de leurs baux et de leurs contrats de franchise avec Les entreprises Dunkin' Brands Canada ltee (successeur de Vente au detail Allied Domecq International Canada ltee) («VDADIC») et ordonnant le paiement par VDADIC de dommages d'un montant total de plus de 16,4 millions $ en raison du non respect par cette derniere de ses obligations contractuelles, plus particulierement en lien avec la protection et le rehaussement de la reputation de la marque DUNKIN DONUTS au Quebec1. Cet arret est d'interet particulier, car il confirme l'existence en droit quebecois d'une obligation de la part d'un franchiseur de proteger sa marque. Si un franchiseur y fait defaut, il commet une faute civile qui pourrait resulter en paiement de dommages a ses franchises.
