Take MAP with a Grain of Salt: Sifto and the Legal Nature of Competent Authority Agreements

Abstract
This column examines some lessons learned about impact of adopting tax treaty arbitration, gleaned from the Tax Court of Canada's recent decision in the case of Sifto Canada Corp. v. The Queen. In the case, the Canada Revenue Agency (CRA) accepted the taxpayer's voluntary disclosure to correct an erroneous transfer pricing position, negotiated a corresponding transfer pricing adjustment with the United States via the Mutual Agreement Procedure (MAP) in the Canada-U.S. Tax Convention; and then audited the taxpayer with respect to the same series of years and the same matters at issue and assessed an additional $60M in tax. The content of this decision, and the series of events that transpired which brought the disputed matters to litigation are both fascinating and significant. The case offers an all too-rare glimpse into the obscure process of MAP negotiation, and the complex interaction between MAP and domestic legal precepts. Moreover, it hints at the silent yet looming spectre of arbitration clauses in double tax treaties.
