Abstract
Q. S'ajoute cette liste une nouvelle socit cre par le Code des professions (L.R.Q., c. C-26) (ci-aprs C.prof ) : la socit en nom collectif responsabilit limite. Sauf exceptions (par exemple en matire de responsabilit des associs), la socit en nom collectif responsabilit limite rpond aux mmes rgles que la socit en nom collectif (art. 187.12 C.prof. ; art. 2186 2235 C.c.Q.). 3. La socit nominale ou de dpenses est un contrat par lequel deux ou plusieurs personnes, tout en conservant leur revenu propre, s'unissent dans le but de partager des dpenses par l'utilisation en commun de moyens permettant la ralisation individuelle d'conomie . Il arrive encore aujourd'hui que cette structure du Code quant l'application des rgles propres chaque espce de socit soit mal comprise. Voir titre d'exemple Restaurant-bar Au 379 inc. c. Jouvrot, REJB 2007-123297 (C.Q.) o le juge applique les articles 2253 et 2254 C.c.Q. propres la socit en participation alors qu'une dclaration d'immatriculation d'une socit en nom collectif a t dpose. Voir aussi Bertrand c. Action Ford lte, n o AZ-50428268 (C.Q. Division petites crances) o on mentionne l'article 2221 C.c.Q. alors que l'on parle de l'tablissement d'une socit en participation. Dans ce dernier cas, c'est l'article 2254 C.c.Q. qui aurait d recevoir application, en remplacement de l'article 2221 C.c.Q.
