Abstract
Comment Pechiney la Française et Alcan la Canadienne en sont-elles venues à fusionner ? Au début des années 1970, rien ne laissait supposer un possible rapprochement entre les deux firmes aux identités très distinctes. La française est une entreprise nationale, dirigée par des ingénieurs et dont la croissance est depuis le début structurellement liée aux ententes. La canadienne est une société dirigée par des gestionnaires, échaudée par les lois anticartels nord-américaines et précocement internationalisée. La disparition de Pechiney suite à l’OPA hostile menée par Alcan en 2003 a sidéré bon nombre de Français pour qui Pechiney représentait la fine fleur de l’industrie nationale. Doit-on y voir la preuve de la supériorité du modèle stratégique d’Alcan ? Ou faut il plutôt invoquer des facteurs conjoncturels, tenant à l’instabilité du marché, à la financiarisation de l’industrie, à l’interventionnisme étatique français et au rôle croissant de la Commission européenne ?
