Tujuan penelitian ini adalah untuk menganalisis pengaruh Struktur Kepemilikan Terhadap Nilai Perusahaan dengan Kebijakan Dividen Sebagai variable Intervening. Penelitian ini adalah penelitian kuantitatif  menggunakan sampel sebanyak 20 perusahaan Manufaktur yang terdaftar di Bursa Efek Indonesia (BEI) dipilih dengan menggunakan purposive sampling. Data dianalisis dengan menggunakan analisis jalur (Path Analisis) dengan menggunakan program AMOS versi 22. Hasil dari penelitian ini menunjukkan bahwa Kepemilikan Manajerial berpengaruh positif dan tidak signifikan terhadap Price to Book Value (PBV), kepemilikan Manajerial berpengaruh positif dan signifikan terhadap Dividend Payout Ratio (DPR) dan Dividend Payout Ratio (DPR) berpengaruh positif dan signifikan terhadap Price to Book Value (PBV). Selanjutnya dapat dibuktikan bahwa Kepemilikan Manajerial berpengaruh positif dan tidak signifikan terhadap Price to Book Value (PBV) dengan Dividend Payout Ratio (DPR) sebagai variable mediasi. Kata Kunci: Struktur Kepemilikan (Kepemilikan Manajerial), Kebijakan Dividen (DPR), Nilai Perusahaan (PBV).
