L’art. 218, par. 11 TFUE conferisce alla Corte, su richiesta di uno Stato membro, del Parlamento europeo, del Consiglio o della Commissione, la competenza a pronunciarsi circa la compatibilità di un accordo previsto con i Trattati. Un eventuale parere negativo non consente l'entrata in vigore dell'accordo, salvo modifiche dello stesso o revisione dei trattati. Il meccanismo ISDS oggetto di esame consente all’investitore straniero di adire il tribunale CETA avverso misure adottate dall’Ue o dagli Stati membri che pregiudichino l’investimento, se esse non rispondono a determinati standard posti dall’Accordo a tutela della libertà di impresa dell’investitore. La CGUE ritiene che il meccanismo ISDS previsto dal CETA non attribuisca al tribunale una competenza ad applicare il diritto Ue, altro da quello rappresentato dall’Accordo, pena la violazione della competenza esclusiva della Corte di giustizia ad interpretare tale diritto. Inoltre, in base a tale accordo il tribunale non può pronunciare decisioni che abbiano l’effetto di impedire alle istituzioni dell’Unione di funzionare conformemente al quadro istituzionale previsto dai Trattati. La CGUE ritiene che il sistema ISDS non interferisca con l’interpretazione e l’applicazione del diritto Ue da parte dei suoi giudici. Il nodo è centrale, benché non privo di problematicità: da un lato, la decisione del tribunale CETA è vincolante per l’Ue e gli Stati membri. Dall’altro lato, la qualificazione del diritto Ue come mera questione di fatto, all’interno di una controversia tra investitore e Stato/Ue, nella quale il tribunale è chiamato a conoscerne e interpretarne il contenuto, lascia perplessi quanto meno sul piano concettuale
