Le droit international offre une dimension supplémentaire pour réfléchir à la place des femmes dans les conseils d’administration et la haute direction des entreprises, enjeu principalement abordé dans l’entreprise et par le droit interne, comme l’illustre la toute récente adoption du projet de loi C-25. La progression déséquilibrée des femmes dans ces instances, reflet d’une multitude de contextes nationaux et entrepreneuriaux, est réelle. Pour rectifier cette situation, des principes issus de la dynamique des groupes (masse critique, tokénisme) sont parfois évoqués et nombreux sont les arguments économiques avancés. Toutefois, ces derniers sont controversés et insuffisants. Ce mémoire propose de les compléter par des considérations démocratiques et des revendications égalitaires fondées sur les droits humains issus des instruments juridiques internationaux. Le Canada étant partie à certains d’entre eux, ils constituent une première grille d’analyse. Celle-ci est ensuite complétée par le prisme de la RSE, amenant les droits humains dans le champ de l’entreprise grâce aux principes développés par Ruggie. Enfin, après avoir rappelé l’engagement du Canada sur la scène internationale relativement à cette thématique et avoir constaté certaines lacunes, les moyens permettant à cet État de pallier celles-ci seront récapitulés. Si le statu quo perdure, le droit international permet aux personnes et groupes lésés d’exercer certains recours. Le droit international s’avère pertinent en ce qu’il promeut les droits fondamentaux niés par l’état de minorité des femmes dans ces instances décisionnelles et offre des moyens d’en contrôler a posteriori leur application.
