Abstract
Toute compagnie ou société agit par ses organes, à savoir le conseil d’administration, les comités du conseil d’administration, l’assemblée des actionnaires et les dirigeants. La Loi prévoit qu’en principe, les affaires d’une compagnie sont administrées par un conseil d’administration composé d’un ou plusieurs administrateurs. Ils ont le pouvoir de prendre des décisions sur la gestion interne et la direction des opérations externes de la compagnie. L’exercice de ces pouvoirs est encadré par un nombre important de devoirs et d’obligations que les administrateurs doivent remplir à l’égard de la compagnie, de ses actionnaires et des tiers. Les administrateurs sont également assujettis à certaines obligations statutaires que l’on retrouve dans les lois corporatives. Nous exposons dans le présent texte certains des devoirs et obligations ou sources de responsabilité des administrateurs et des dirigeants et présentons également les sources d’indemnisation disponibles dont la police d’assurance responsabilité des administrateurs et dirigeants.
