Le statut de la Société Européenne, soumis en 1970 aux différents Etats membres par la Communauté Européenne, n’est à ce jour ni adopté, ni rejeté. A partir de nombreux exemples, cet article traite des problèmes soulevés par l’harmonisation européenne dans le domaine du droit des sociétés. Les lenteurs administratives, les difficultés de négociation sont clairement expliquées. Les enjeux nationaux, les traditions juridiques, et les ancrages culturels des différents états sont à l’origine des difficultés d’harmonisation.
