O abuso do direito de voto na assembleia geral de credores: análise da complementaridade entre a jurisprudência do STJ e as diretrizes do § 6º do Art. 39 da Lei nº 14.112/2020 para declaração de nulidade

Abstract
O artigo explora as inovações da Lei nº 14.112/2020 à Lei de Recuperação Judicial e Falência (LRJF), especialmente o § 6º do art. 39, que permite a anulação de votos abusivos na Assembleia Geral de Credores (AGC). O problema que motiva a pesquisa é a necessidade de critérios mais objetivos para identificar o abuso do direito de voto, que ocorre quando credores exercem seu voto de modo a obter vantagens ilícitas ou prejudicar o processo de recuperação, desrespeitando o princípio da boa-fé e a função social da empresa. O estudo tem como objetivo examinar os novos parâmetros legais introduzidos pela reforma para o juízo falimentar, possibilitando que votos exercidos com abuso possam ser anulados. A metodologia adotada envolve análise normativa e doutrinária, além de um exame da jurisprudência relevante. Os resultados indicam que a reforma trouxe maior segurança jurídica ao definir critérios mais objetivos para a nulidade de votos abusivos, reduzindo a subjetividade das decisões judiciais. Ainda assim, desafios persistem, como a comprovação da intenção ilícita e o equilíbrio entre interesses individuais e coletivos. Conclui-se que a aplicação prática da nova regra contribui para a efetividade da recuperação judicial e reforça a preservação da função social das empresas.
