La nota, prendendo spunto dalla pronuncia del Tribunale di Roma, ripercorre il problema della compatibilità dell'in house providing con la disciplina delle società di capitali e, in particolare, si sofferma sulle modalità attraverso cui il controllo analogo (che attribuisce al socio pubblico un controllo sulla società più ampio e penetrante di quello codicistico) si può coniugare con l'art. 2380-bis, c.c. (che attribuisce la gestione in via esclusiva agli amministratori). Tale questione viene ridiscussa alla luce dell'art. 16, comma 2, t.u., che consente agli statuti la facoltà di derogare all'art. 2380-bis, onde consentire l'esercizio del controllo analogo sulla s.p.a., tentando di individuare dei limiti derivanti dai principi del d.lgs., n. 175/2016, e della relativa legge delega, nonchè, più in generale, dallo stesso diritto delle società di capitali.
