Esta tese aborda os seguintes tópicos: a governance, o risco e a estrutura de capital dos bancos, amplamente reconhecidos como os principais factores responsáveis pela crise financeira que começou em 2008 e teve consequências desastrosas para a economia real. Este estudo é composto por cinco capítulos independentes que visam contribuir para a literatura neste campo, abordando algumas questões empíricas. O primeiro capítulo apresenta uma visão geral da crise financeira que teve como ponto de partida a falência do Lehman Brothers em 2008,contextualizando a estrutura da tese e os conteúdos dos três estudos principais presentes nos capítulos 2 a resumindo os principais objetivos, conjunto de dados e metodologias utilizadas, bem como os principais resultados obtidos. O segundo capítulo teve como principal objetivo demonstrar evidência empírica do impacto da diversidade presente nos órgãos de gestão dos bancos na rendibilidade e no risco destes últimos, concluindo-se que não fica claro que a diversidade diminui o risco e promove o desempenho dos bancos, contrariando a orientação recentemente introduzida na Diretiva 2013/36/UE de 26 junho de 2013 (CRD IV). No terceiro capítulo, avalia-se desempenho de vários indicadores de risco fornecidos, quer pelas demonstrações financeiras, quer pelos reportes regulamentares (ou prudenciais) na identificação de bancos financeiramente saudáveis e não saudáveis (ou com problemas de solvência) bem como procede-se à análise em que medida o recente quadro regulamentar da UE – focado essencialmente no aumento dos requisitos de capital –encontra-se na direção certa para endereçar estes riscos O quarto capítulo centra-se nos determinantes da estrutura de capital dos bancos europeus durante a última década no sentido de avaliar se são semelhantes aos das empresas não financeiras ou, pelo contrário, são influenciados pela supervisão e regulação. O capítulo 5 apresenta as principais conclusões desta tese.
