Abstract
Opinnäytetyön tarkoituksena oli tutkia listautumisen peruutumista monenkeskiselle markkinapaikalle. Työssä selvitetään, miten listautuvan yrityksen tiedonantovelvollisuus poikkeaa kevyemmin säännellyllä First North markkinapaikalla verrattuna arvopaperipörssin tiedonantovelvollisuuteen. Tutkimuksen tavoitteena on vastata kysymykseen, olisiko GF Money Oyj:n Nuorisosäätiön kanssa tehdyt liiketoimet tulleet tai pitäneet tulla ilmi listautumisasiakirjoista tai tilinpäätöstiedoista, sekä olisivatko arvopaperimarkkinoiden tiukemmat tiedonantovelvollisuudet vaikuttaneet GF Money Oyj:n listautumisen peruuntumiseen. Tutkimuksen tuloksien pohjalta arvioidaan, olisiko lisäregulaatiolle tarvetta myös kevyemmin säännellyillä markkinapaikoilla tiedonantovelvollisuuden osalta. Opinnäytetyössä tutkitaan miten First North markkinapaikalle listautuva yhtiö toteutti tiedonantovelvollisuutta ja verrataan toteutettua tiukemmin säänneltyyn arvopaperipörssiin. Opinnäytetyössä saatiin selville, että tiukemmat säänneltyjen markkinoiden tiedonantovelvollisuudet tuskin olisivat vaikuttaneet listautumisen onnistumiseen. Tiedonantovelvollisuuksien erot listautumisvaiheessa markkinapaikkojen välillä eivät ole valtavan suuria, etenkään jos listautumisella haetaan yli 5 miljoonan euron pääomia. Nuorisosäätiön kanssa tehdyt liiketoimet eivät suoraan tulleet ilmi esitteen tiedoista. Mediassa esillä olleiden tietojen ja esitteen pohjalta tapahtumaketju olisi voinut kuitenkin olla ennakoitavissa. Mahdollista lisäregulaation tarvetta listautumisessa on lähipiirikauppoihin liittyen sekä riskikeskittymien velvoittavampi ilmoittaminen.
