This Fourth Amending Agreement is dated as of the 3rd day of April, 2013, between Bruce Power L.P., a limited partnership created under the laws of Ontario and as represented by its general partner, Bruce Power Inc., Bruce Power A L.P., a limited partnership created under the laws of Ontario and as represented by one of its general partners, Bruce Power A Inc., and the Ontario Power Authority, a corporation without share capital existing under the Electricity Act. WHEREAS the Parties entered into the Bruce Power Refurbishment Implementation Agreement dated as of the 17th day of October, 2005, as amended by the First Amending Agreement dated as of the 28th day of August, 2007, as amended by the Second Amending Agreement dated as of the 6th day of July, 2009, and as further amended by the Third Amending Agreement dated as of the 3rd day of February, 2011 (the agreement as so amended, the "BPRIA"); AND WHEREAS the Parties have agreed to further amend the BPRIA as set forth herein. NOW THEREFORE, in consideration of the mutual agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound, the Parties agree as follows:
